The two judgments deal with the scope of the transfer of assets and liabilities agreement between ISP and Veneto Banca (pursuant to d.l. 99/2017). The author analyses the cases focusing on the interpretation of the agreement and the possibility to hold the transferee liable under art. 2560 of the Italian civil code also in the context of bank insolvency.
Le due sentenze decidono con esiti opposti la questione della successione dell’acquirente di ‘Banche Venete’ (d.l. 99/2017) nelle posizioni passive derivanti da rapporti estinti.
